Terms of Service

Last updated: 2 September 2026

These Terms of Service (“Terms”) govern your access to and use of the Umam Digitals website and the services we provide. By using our website, submitting an enquiry or project brief, or engaging us for work, you agree to these Terms. Please read them carefully.

1.Who we are

“Umam Digitals” (“we”, “us”, “our”) is a digital studio offering website development, software and application development, UI/UX design, brand and content work, and technical training through our academy. You can reach us at hello@umamdigitals.com or on +234 810 737 1388 / +234 802 445 2620.

2.Use of our website

You may use this website for lawful purposes only. You agree not to misuse it, attempt to gain unauthorised access, disrupt its operation, or use it to send unsolicited or fraudulent content.

The content on this website — including text, graphics, logos, and designs — is owned by or licensed to Umam Digitals and is provided for your information. You may not copy or reuse it for commercial purposes without our written permission.

3.Enquiries and project briefs

When you submit a contact message, project brief, or partnership enquiry, you confirm that the information you provide is accurate and that you are authorised to share it. Submitting a form does not create a binding contract; it starts a conversation.

A project engagement only begins once we have agreed the scope, deliverables, timeline, and fees in a separate proposal or agreement, and you have confirmed acceptance.

4.Quotes, fees and payment

Quotes are based on the scope described at the time of the proposal. Changes to scope may change the fee and timeline. Unless stated otherwise, fees are quoted exclusive of any applicable taxes and third-party costs (such as domains, hosting, licences, or paid services).

Payment terms, milestones, and any deposit required are set out in the project agreement. Work may pause if agreed payments are overdue.

5.Your responsibilities as a client

To deliver on time, we rely on you to provide content, feedback, approvals, and access promptly, and to ensure that any material you supply (text, images, logos, data) is accurate and that you have the right to use it.

6.Revisions and acceptance

Each project includes a defined number of revision rounds as set out in the agreement. Additional revisions may be billed separately. A deliverable is considered accepted once approved by you, or after a reasonable review period if no feedback is provided.

7.Intellectual property

On full payment, ownership of the final deliverables created specifically for you transfers to you, except for third-party components, open-source libraries, and any pre-existing tools or frameworks we use, which remain under their own licences.

We may showcase non-confidential work in our portfolio and marketing unless we agree otherwise in writing.

8.Third-party services

Our work and this website may rely on third-party services (for example hosting, analytics, form processing, and payment providers). We are not responsible for the availability, performance, or policies of those third parties, and your use of them may be subject to their own terms.

9.Warranties and disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, our website and services are provided “as is” without warranties of any kind. We do not guarantee that the website will be uninterrupted, error-free, or free of harmful components.

10.Limitation of liability

To the extent permitted by law, Umam Digitals will not be liable for indirect, incidental, or consequential losses, or for loss of profit, data, or business, arising from your use of our website or services. Our total liability for any claim relating to a project will not exceed the fees paid for that project.

11.Confidentiality

Each party agrees to keep the other’s confidential information private and to use it only for the purpose of the engagement. This does not apply to information that is public, already known, or required to be disclosed by law.

12.Termination

Either party may end an engagement as set out in the project agreement. If an engagement ends early, you agree to pay for work completed up to that point. Sections intended to survive termination — such as intellectual property, confidentiality, and liability — will continue to apply.

13.Changes to these Terms

We may update these Terms from time to time. The current version will always be posted on this page with its “last updated” date. Continued use of the website after changes take effect means you accept the revised Terms.

14.Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and any disputes will be subject to the jurisdiction of the Nigerian courts.
